ShambaPass does not guarantee that AI generated disease predictions, diagnoses, treatment suggestions or dosage calculations will be correct.
Emergency animal health situations should be referred to a qualified veterinary professional.
Information submitted to AI functions may be transmitted to approved AI technology providers where necessary to generate requested outputs.
ShambaPass will seek to minimise personal information included in AI requests.

These Terms and Conditions govern access to and use of the ShambaPass website, mobile applications, Progressive Web Application, APIs, software, artificial intelligence services and related technologies.
By creating an account, registering a farm, registering livestock, subscribing to a paid service or otherwise using ShambaPass, you agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not use ShambaPass.
Certain services may be subject to additional terms, policies or notices.
Your use of ShambaPass is also subject to the ShambaPass Privacy Policy.
For purposes of these Terms:
"ShambaPass" means the livestock intelligence and farm management technology platform.
"Platform" means all ShambaPass websites, applications, APIs, databases, artificial intelligence systems and related services.
"User" means any person authorised to access ShambaPass.
"Farm Owner" means the person or organisation responsible for a farm account.
"Farm" means a livestock or agricultural operation registered on ShambaPass.
"Animal" means livestock or another supported animal recorded through the Platform.
"Animal Record" means information maintained about an animal.
"Digital Livestock Passport" means the ShambaPass digital record containing information associated with an animal.
"Breeder" means a person or organisation involved in breeding livestock.
"Veterinarian" means a person represented on the Platform as professionally authorised to provide veterinary services in accordance with applicable law.
"Veterinary Professional" includes veterinary surgeons and veterinary paraprofessionals where applicable.
"Employee" means a farm employee or worker whose information or account is managed through ShambaPass.
"Farm Manager" means a person authorised by the Farm Owner to manage some or all farm operations.
"External Breeder" means a breeder given restricted access to contribute historical or pedigree information about specified animals.
"Pedigree Record" means ancestry information recorded for an animal.
"Registry" means an independent livestock registration organisation, breed society, stud book or other registration authority.

"AI Services" means artificial intelligence assisted functionality made available through ShambaPass.
"Tuma" means a third party payment service that may be integrated with ShambaPass.
"Marketplace" means any livestock, agricultural product, service provider or breeder discovery functionality subsequently offered through ShambaPass.
"Subscription" means a paid ShambaPass service plan.
"User Content" means information, photographs, documents, records and other materials submitted to ShambaPass.
To operate an independent commercial ShambaPass account you must:
Be at least eighteen years old or otherwise have legal capacity to enter the applicable agreement.
Provide accurate registration information.
Have lawful authority to register the relevant farm or business.
Maintain accurate contact information.
Comply with applicable Kenyan laws and regulations.
Where a user represents a company, cooperative, partnership, farm, association or other organisation, that user represents that they have authority to bind or act for that organisation.
Persons providing regulated professional services through ShambaPass remain responsible for maintaining all registrations, licences and professional authorisations required by law.
Users are responsible for:
Maintaining password confidentiality.
Protecting verification codes.
Restricting account access.
Providing accurate information.
Keeping information updated.
Using only their authorised account.
Immediately reporting suspected unauthorised access.
Users must not share credentials where doing so would bypass ShambaPass permissions.
ShambaPass may require additional verification where suspicious account activity is detected.
The Farm Owner controls authorised access to the farm account subject to these Terms.
Farm Owners may assign roles including:

Manager

Employee

Other approved roles.
Each role may have different permissions.
Farm Owners are responsible for granting appropriate access.
ShambaPass is not responsible for authorised actions performed by users whom a Farm Owner has voluntarily granted access, except where liability cannot lawfully be excluded.
Farm Owners may create accounts or records for farm employees.
The Farm Owner is responsible for ensuring that employee information is collected and used lawfully.
Employees may only access functionality permitted by their assigned role.
When employment ends, the Farm Owner should promptly revoke the employee's access.
ShambaPass may provide tools for attendance, payroll, tasks, performance records and farm operations but does not become the employer of farm employees.
Users may register livestock through ShambaPass.

A ShambaPass Digital Livestock Passport is a digital management record.
It is not automatically a government certificate, ownership certificate, export certificate, veterinary certificate, KSB registration certificate or breed society certificate.
ShambaPass may record identification including:

Registry numbers
Farm identification numbers
Other permanent identifiers.
Recording an identifier does not independently prove ownership, pedigree, breed purity or regulatory registration.
Users must not knowingly register false, altered or duplicated identification.
ShambaPass may maintain ownership histories.
The presence of an animal in a user's account does not by itself establish legal ownership.

ShambaPass may restrict disputed records while the parties resolve ownership.

ShambaPass may indicate the source and verification status of pedigree information.

A breed classification recorded through ShambaPass does not constitute independent certification by ShambaPass.
Users must not represent a ShambaPass breed classification as official registry certification unless the relevant registry has independently certified the animal.

These statuses must represent the evidence available to the Platform.
ShambaPass does not guarantee the authenticity of documents supplied by third parties.
ShambaPass may assist farmers with preparing, storing and organising information relevant to Kenya Stud Book registration.
Unless ShambaPass has an active official integration or written arrangement with the relevant registration authority, ShambaPass does not:
Register animals with Kenya Stud Book.
Approve pedigree applications.
Conduct official breed inspections.
Issue KSB certificates.
Determine official pedigree status.
Guarantee acceptance of an application.
A ShambaPass KSB Registration Preparation Record is not an official Kenya Stud Book certificate.
Official registration remains subject to the requirements and decisions of the relevant registration authority.
ShambaPass may store information relating to imported livestock including:

ShambaPass does not guarantee that imported livestock will qualify for registration in Kenya.

Farm Owners may invite breeders or previous owners to contribute information concerning specific animals.
External breeder access should be restricted to animals expressly shared with that breeder.
Information submitted by a breeder may initially be marked as breeder supplied or pending verification.
Breeder supplied information does not automatically become verified information.
Farm Owners may accept, reject or request clarification of submitted records.

Certificates must clearly distinguish ShambaPass training completion from government or professional accreditation.
ShambaPass may contain practical information contributed by farmers and breeders.
Such information may be valuable but may not have been scientifically or professionally verified.

Users must not exploit vulnerabilities to access, destroy, alter or disclose data belonging to other users.
The ShambaPass name, software, designs, interfaces, databases, source code, trademarks, algorithms and related intellectual property remain the property of ShambaPass or its licensors.
Users receive a limited, revocable, nonexclusive and nontransferable right to use the Platform for its intended purpose.
No user may unlawfully:
Copy the Platform.
Resell the software.
Reverse engineer protected components.
Extract protected databases.
Reproduce proprietary designs.
Create unauthorised derivative commercial services.
Users retain applicable ownership rights in original content they submit.
Users grant ShambaPass a limited licence to:

ShambaPass recognises that farm information may be commercially sensitive.

Where appropriately anonymised or aggregated.
Where another lawful basis exists.
ShambaPass aims to maintain reliable service but does not guarantee uninterrupted operation.

Other institutions.
To the maximum extent permitted by applicable law, ShambaPass shall not be liable for indirect, incidental, special, consequential or punitive losses arising solely from use of the Platform.
This may include losses arising from reliance on inaccurate user supplied data, AI predictions, third party services or biological outcomes beyond ShambaPass's reasonable control.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited under Kenyan law.
Nothing in these Terms removes mandatory consumer rights or other statutory protections.
To the extent permitted by applicable law, a user may be responsible for losses, claims or expenses arising from that user's:
Fraud.
Illegal conduct.
Deliberate falsification of records.
Unauthorised disclosure of another person's information.
Intellectual property infringement.
Misrepresentation of livestock.
Forged pedigree documentation.
Impersonation of a regulated professional.
Material breach of these Terms.
This provision does not require a user to indemnify ShambaPass for losses caused by ShambaPass's own unlawful conduct where such liability cannot legally be transferred.
ShambaPass may suspend access where reasonably necessary because of:
Security threats
Suspected fraud
Material breach
False information
Account compromise
Illegal activity
Abuse
Nonpayment
Regulatory requirements
Threats to animal or public health
Attempts to compromise Platform security.
Where appropriate, users will be given an opportunity to resolve the issue.
Users may close their account subject to:
Outstanding payments
Legal retention obligations
Unresolved disputes
Regulatory requirements
Other legitimate retention requirements.
ShambaPass may terminate accounts for serious or repeated violations of these Terms.
Account termination does not necessarily require immediate deletion of every record.

Regulatory reporting
Disputes
Defence of legal claims.
Personal information will otherwise be handled according to the ShambaPass Privacy Policy.
ShambaPass may update these Terms as the Platform, applicable law or services evolve.

Where applicable law requires explicit consent or acceptance, ShambaPass will request it.
Continued use will not substitute for consent where applicable law specifically requires another lawful mechanism.
If a provision of these Terms is determined by a competent authority to be invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.
Failure by ShambaPass to immediately enforce a provision does not automatically waive the right to enforce it later.
Users may not transfer their contractual rights or obligations under these Terms without permission where such permission is reasonably required.
ShambaPass may restructure or transfer its contractual rights as part of a lawful corporate transaction, subject to applicable law and privacy obligations.
ShambaPass will not be responsible for failure or delay caused by events reasonably beyond its control to the extent permitted by law.

Users should first attempt to resolve disputes directly with ShambaPass through the designated support or legal channels.
The parties should attempt good faith amicable resolution before commencing court proceedings where appropriate.
Nothing in this section prevents a person from exercising rights that cannot legally be restricted.
These Terms are governed by the laws of the Republic of Kenya.
Subject to applicable mandatory rights and dispute resolution requirements, disputes that cannot be resolved amicably may be submitted to courts of competent jurisdiction in Kenya.
ShambaPass and its users must comply with applicable laws and regulations relevant to their activities.
